Distance Selling Contract

1. PARTIES

This Sales Agreement (“Agreement”) has been concluded electronically between the SELLER and the BUYER whose information is provided below.

Within the scope of this Agreement:

  • “SELLER” and “BUYER” shall individually be referred to as a “Party”
  • and collectively as the “Parties.”

This Agreement governs B2B (business-to-business) sales transactions conducted within the scope of commercial activities.

3. SUBJECT OF THE AGREEMENT

The subject of this Agreement is to determine the terms and conditions regarding:

  • the sale of products
  • delivery processes
  • payment procedures
  • the rights and obligations of the Parties

in relation to orders placed by the BUYER through the website www.fimkastore.com.

Fimkastore:

  • is a B2B commerce platform
  • enables commercial transactions between sellers and buyers
  • may act as an intermediary in logistics and payment processes

4. ORDERS

Orders placed by the BUYER shall be subject to the provisions of this Agreement.

By placing an order, the BUYER acknowledges and agrees to be bound by the order.

The SELLER reserves the right to cancel orders in the following cases:

  • Insufficient stock
  • Pricing errors
  • Security risks
  • Failure to verify payment

In such cases:

If payment has already been made, it shall be refunded within a maximum of 7 business days.


5. PRODUCTS AND DELIVERY

Product Information

The following details of the ordered products shall be specified on the platform:

  • Product type
  • Quantity
  • Model
  • Color
  • Number of units

Pricing

Product prices are determined in USD.

Additional Costs

The following expenses shall be borne by the BUYER:

  • Shipping costs
  • Taxes
  • Customs duties
  • Import costs
  • Other legal charges

Delivery Time

Estimated delivery time:

3–7 business days

This period is an estimated timeframe only and does not constitute a binding commitment.


6. PAYMENT METHODS

6.1 Bank Transfer

The BUYER shall complete payment on the same day following order confirmation.

If payment is not made:

the order shall not be processed.


6.2 Credit Card

The BUYER shall make payment after placing the order.

Products shall not be shipped until payment approval is completed.


6.3 Buy Now, Pay Later (Deferred Payment)

This payment method is available only to approved customers.

For deferred payment sales:

  • The invoice shall be issued on the order date
  • Payment shall be made on the due date

Exchange Rate Difference

As product prices are determined in USD:

if exchange rates increase on the payment date, the invoice amount may increase accordingly.

The BUYER acknowledges and accepts this condition.


7. RETURNS AND EXCHANGES

7.1 Return Without Cause

The BUYER may create a return request within 5 business days after receiving the product.

Return shipping costs shall be borne by the BUYER.

As a result of the return request:

  • No cash refund shall be provided
  • A discount coupon may be issued instead

7.2 Defective Products

The BUYER must report defective products within 5 business days after delivery.

The SELLER may apply one of the following remedies:

  • Product replacement
  • Refund
  • Discount coupon issuance

8. OBLIGATIONS OF THE PARTIES

BUYER Obligations

The BUYER acknowledges and agrees that:

  • Purchases are made for commercial purposes
  • All provided information is accurate and complete
  • Payment obligations shall be fulfilled

SELLER Obligations

The SELLER shall:

  • Process orders
  • Dispatch products
  • Provide necessary notifications and information

9. PROTECTION OF PERSONAL DATA

The BUYER’s:

  • Name
  • Surname
  • Phone number
  • Address
  • Email address
  • Payment information

may be processed for the following purposes:

  • Order management
  • Payment processing
  • Customer support
  • Logistics operations
  • Compliance with legal obligations

All personal data shall be protected in accordance with the Turkish Personal Data Protection Law (KVKK).


10. FORCE MAJEURE

Neither Party shall be held liable in the event of:

  • Natural disasters
  • War
  • Epidemics or pandemics
  • Strikes
  • Supply chain disruptions
  • Governmental decisions or restrictions

11. CONFIDENTIALITY

The Parties agree to:

  • Keep commercial information confidential
  • Not disclose such information to third parties
  • Maintain confidentiality even after termination of this Agreement

12. DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the Republic of Türkiye.

The competent courts and enforcement offices shall be:
